These Terms & Conditions (“Terms”) govern access to and use of www.ooumph.com and the products, platforms, programmes, information, materials and services made available by MyOoumph Networks Private Limited (“MyOoumph”, “Ooumph”, “Company”, “we”, “us” or “our”).
By accessing the website, submitting an enquiry, registering for a programme, making a payment, downloading material or using an Ooumph service, you acknowledge that you have read and understood these Terms.
Where a specific service is governed by a proposal, quotation, Statement of Work (“SOW”), purchase order, work order, subscription agreement, institutional agreement or other written contract, that document will govern the relevant commercial engagement to the extent of any inconsistency.
1. Nature of Ooumph's Services
Ooumph provides technology and professional services in areas including artificial intelligence, sovereign AI infrastructure, AI-agent systems, software and platform development, system integration, digital transformation, technical advisory, government and enterprise technology solutions, and Applied AI education and Centre of Excellence (“CoE”) programmes.
The website describes capabilities, use cases and areas of application. A website description does not by itself constitute a representation that a particular feature, outcome, certification, regulatory status or deployment condition applies to every customer or every implementation.
The actual scope, deliverables, performance parameters, service levels, deployment model, security controls, data-processing arrangements, acceptance criteria and commercial obligations applicable to a customer will be determined by the relevant written engagement documents.
2. Website Use
The website may be used only for lawful purposes.
You must not:
- attempt unauthorised access to the website or connected systems;
- interfere with website availability, security or operation;

Any specific assurance must be based on the applicable technical documentation, SOW, contract, audit report, certification or other expressly identified document.
4. AI and Automated Systems
Ooumph may provide AI models, AI-enabled software, autonomous or semi-autonomous agents, monitoring systems, governance mechanisms and other automated capabilities.
AI outputs may contain errors, inaccuracies or omissions. Unless expressly agreed otherwise in writing, customers remain responsible for appropriate human review and for determining whether an output is suitable for a particular decision or use.
Ooumph does not represent that AI outputs should be relied upon as the sole basis for legal, medical, financial, regulatory, employment, procurement, safety, security or other consequential decisions.
Where Ooumph technology is integrated into an operational environment, responsibility for the customer's business processes, approvals, access controls and decision-making remains subject to the applicable engagement and division of responsibilities.
5. Government, PSU and Institutional Engagements
Government departments, public authorities, PSUs, educational institutions and other public-sector organisations may procure Ooumph services through tenders, GeM, purchase orders, work orders, institutional agreements or other procurement mechanisms.
Nothing on the website constitutes:
- an offer to a government entity to procure a service;
- a representation that a procurement method is available in every jurisdiction or circumstance; or
- a waiver of any applicable procurement requirement.
The applicable tender, procurement document, purchase order, SOW, institutional agreement or government contract will govern the relevant engagement.
6. Centre of Excellence and Training Programmes
Ooumph may establish, operate or support Applied AI Centres of Excellence, training programmes, internships, workshops and related educational activities.
Programme-specific terms may address eligibility, admissions, capacity, batch size, schedule, attendance, curriculum, assessment, certification, internship arrangements, fees and institutional approvals.
Registration or payment does not automatically guarantee admission where selection, eligibility, seat availability or institutional approval applies.
Ooumph may make reasonable operational changes to trainers, schedules, delivery arrangements, venues or learning resources. Material changes to a paid programme will be handled in accordance with the applicable programme terms and Cancellation/Refund Policy.
Completion of a course or programme does not constitute a guarantee of employment, placement, promotion, income or any particular career outcome.
7. Registration Information
Where registration is required, you are responsible for submitting accurate and current information.
You must not provide information that you do not have authority to submit on behalf of another person or organisation.
Where account credentials are issued, you are responsible for keeping them confidential and for activity undertaken through your account, subject to Ooumph's responsibility under applicable law and the relevant agreement.
8. Fees and Payments
Fees are stated on the applicable purchase page, programme page, quotation, proposal, invoice or other commercial document.
Unless expressly stated otherwise:
- applicable taxes will be charged as required;
- payment must be made through an authorised payment mechanism;
- the transaction is subject to successful confirmation by the relevant payment provider; and
- payment timing, settlement and reversal may be affected by banks, payment networks or payment service providers.
Payment processing may be performed by third-party payment providers. Ooumph does not intentionally collect or store full card credentials through ordinary website forms.
The applicable payment provider may separately process transaction information under its own terms and privacy policy.
9. Intellectual Property
Unless expressly stated otherwise, the website, Ooumph software, platform components, documentation, text, graphics, designs, trademarks, logos, interfaces and other materials are owned by or licensed to MyOoumph Networks Private Limited.
Access to the website or a service does not transfer ownership of Ooumph intellectual property.
Customer-specific intellectual property, licence rights, deliverables and ownership arrangements will be governed by the applicable SOW, purchase order, licence agreement or other written contract.
10. Confidential Information
Information exchanged under an executed confidentiality or non-disclosure agreement will be governed by that agreement.
Information submitted through an ordinary public website form should not be treated as confidential project information unless Ooumph expressly agrees otherwise.
You should not submit classified, highly sensitive, regulated or proprietary information through a public website form unless the relevant process specifically permits it.
11. Third-Party Services
Ooumph may use or link to third-party services, including payment, hosting, communications, mapping, analytics, security and other technology providers.
Third-party services are subject to their own terms and policies.
Ooumph is not responsible for matters within a third party's independent control, except to the extent responsibility is expressly allocated to Ooumph under an applicable agreement or law.
12. Availability and Modifications
Ooumph seeks to maintain reliable website and service availability but does not guarantee continuous or uninterrupted access.
The website, content and features may be modified, suspended or discontinued where reasonably required.
Ooumph may update these Terms from time to time by publishing a revised version on the website.
13. Warranties and Disclaimers
Except where expressly provided in a written contract, website information and general website functionality are provided on an “as available” basis.
Ooumph does not make a blanket representation that every website feature, product, deployment or service will satisfy every technical, legal, regulatory, security or sector-specific requirement applicable to every customer.
Any express warranty, service-level commitment, security obligation, performance commitment or regulatory allocation will be governed by the applicable contract or service documentation.
Nothing in these Terms excludes a right or remedy that cannot legally be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Ooumph will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the public website or general website information.
For contracted services, liability will be governed by the applicable agreement.
Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.
15. Cancellation and Refunds
Payments for programmes and directly purchasable services are subject to the Cancellation and Refund Policy published on the website and any programme-specific terms.
For B2B, government, PSU and institutional engagements, cancellation, termination and refund provisions will ordinarily be governed by the relevant agreement, purchase order or SOW.
16. Privacy
Personal data submitted through the website or an Ooumph service is handled as described in the Privacy Policy.
The Privacy Policy describes the categories of data collected, purposes of processing, relevant service providers, security measures and available rights or grievance channels.
Where Ooumph processes personal data for a customer or institution under a separate engagement, additional contractual data-processing requirements may apply.

18. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
Subject to mandatory rights or jurisdiction provided by applicable law, courts at Lucknow, Uttar Pradesh will have jurisdiction over disputes relating to these Terms or use of the public website.
A separate customer, government or institutional contract may prescribe a different dispute-resolution mechanism, including arbitration or another jurisdictional arrangement. In such cases, that contract will govern the relevant engagement.
19. Force Majeure
Ooumph will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, governmental restrictions, telecommunications or power failures, disruption of third-party infrastructure, civil disturbance, war, epidemic-related restrictions, payment-network failure or other comparable events.
20. Severability
If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to operate to the extent permitted by law.
